Personal credit is a well entrenched part of society. People finance houses, cars, and a whole variety of consumer goods and personal loans. Many investors are relying on promissory notes as a means of “investing” in a company with a stated rate of return and liquidation preferences not found with an investment in that company’s common stock. However, there may be a time or an event when the investor wishes to convert a promissory note into the company’s common shares, including the desire to have voting rights, an IPO, or much more.

Sellers are always trying to find additional buyers or investors. Larger sales or transactions, such as real estate or employment transactions often rely on a third party to help facilitate the transaction.
